2. Acceptance of Terms
By using our website, requesting quotations, purchasing services, or engaging with our products, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

- Digital Transformation Consulting
- SaaS Products including Avenzia CRM and Konstrux ERP
4. Project Scope
The project scope will be defined in the approved proposal, quotation, or agreement.
Any work outside the agreed scope shall be treated as additional work and billed separately.
5. Client Responsibilities
The client agrees to:
- Provide complete project requirements.
- Supply required content, images, logos, and documents.
- Review submitted work promptly.
- Approve milestones within the agreed timeline.
- Ensure all supplied content is legally owned or licensed.
Karni IT shall not be responsible for delays caused by incomplete information or delayed approvals.
6. Pricing & Payment
Project payments shall follow the agreed payment schedule.
Typical payment terms include:
- Advance payment before project commencement.
- Milestone payments during development.
- Final payment before deployment or delivery.
Late payments may result in suspension of services.
7. Change Requests
Any additional features, modifications, or enhancements requested after project approval may require:
- Additional development time
- Revised project cost
- Updated delivery schedule
Written approval from the client will be required before implementation.
8. Delivery Timeline
Estimated timelines depend on:
- Timely receipt of project requirements
- Client approvals
- Third-party integrations
- Technical feasibility
Karni IT will make every reasonable effort to meet agreed deadlines but shall not be liable for delays beyond its control.
9. Intellectual Property
Upon full payment, ownership of the custom-developed source code and deliverables transfers to the client unless otherwise specified in the agreement.
Karni IT retains ownership of:
- Proprietary frameworks
- Libraries
- Development tools
- Templates
- Reusable components
- SaaS products
- Internal methodologies
10. Product Licensing
Products including Avenzia CRM, Konstrux ERP, and other proprietary software remain the intellectual property of Karni IT Services Pvt. Ltd.
Use of these products is governed by the applicable software license agreement.
Unauthorized copying, resale, reverse engineering, or redistribution is prohibited.
11. Third-Party Services
Projects may include third-party services such as:
- Payment gateways
- SMS providers
- Email services
- Google APIs
- Cloud hosting
- Maps
- AI services
The client is responsible for applicable licensing, subscriptions, and usage charges unless otherwise agreed.
Karni IT is not responsible for service interruptions or policy changes made by third-party providers.
12. Website Hosting & Domain
Unless specifically included in the proposal:
- Domain registration
- Hosting
- SSL certificates
- Email hosting
are not included in development charges.
13. Warranty & Support
Karni IT provides bug-fixing support for the agreed support period after project delivery.
Support does not include:
- New feature development
- Third-party changes
- Server administration
- Client-made modifications
- External software updates
Annual Maintenance Contracts (AMC) are available separately.
14. Confidentiality
Both parties agree to maintain the confidentiality of business information, source code, documents, pricing, and proprietary information shared during the project.
15. Limitation of Liability
Karni IT shall not be liable for:
- Business interruption
- Loss of profits
- Loss of data
- Indirect damages
- Third-party failures
- Cyber attacks
- Hosting failures
- Force majeure events
Our total liability shall not exceed the amount paid by the client for the specific project.
16. Data Backup
Clients are responsible for maintaining backups of their websites, databases, applications, and business data.
Karni IT recommends regular backups before deployment or updates.
17. AI Services
AI-generated outputs may contain inaccuracies and should be reviewed before business, legal, financial, or medical use.
The client is responsible for validating AI-generated content.
18. Cancellation & Refund Policy
Project advances are generally non-refundable once work has commenced.
If the client cancels the project, payment will be due for work completed up to the cancellation date.
Refund eligibility shall be determined according to the signed agreement.
19. Website Content
Clients are solely responsible for ensuring that all content, images, trademarks, logos, videos, and documents provided do not infringe any third-party intellectual property rights.
20. Privacy
Use of our website is also governed by our Privacy Policy.
21. Governing Law
These Terms & Conditions shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
22. Changes to Terms
Karni IT Services Pvt. Ltd. reserves the right to modify these Terms & Conditions at any time without prior notice.
